France's gender quota laws: what applies to your company

The Copé-Zimmermann law: 40% on boards

Since 2017, French law (loi n° 2011-103, known as the Copé-Zimmermann law) requires boards of directors and supervisory boards to include at least 40% of each sex. The obligation covers listed companies as well as unlisted companies with more than 250 employees or over €50 million in revenue or balance-sheet total. Appointments made in breach of the quota are null and void, and directors' attendance fees can be suspended until the board is validly composed. The law transformed French governance: France now leads the G7 for women on boards.

The Rixain law: quotas reach the executive committee

France is the first country to extend binding quotas beyond the board. Under the Rixain law (loi n° 2021-1774), companies employing at least 1,000 people for three consecutive financial years must, since 1 March 2026, count at least 30% of each sex among their senior executives (cadres dirigeants) and, separately, among the members of their governing bodies such as the executive and management committees. On 1 March 2029 the threshold rises to 40%, with a two-year compliance window; companies that still fall short face a financial penalty of up to 1% of payroll. Representation gaps must be declared annually and are published by the Ministry of Labour.

The EU Women on Boards Directive

Directive (EU) 2022/2381 required large listed companies across the EU to reach 40% of the underrepresented sex among non-executive directors, or 33% across all director roles, by 30 June 2026. Because France's national regime already meets or exceeds these standards, French companies compliant with Copé-Zimmermann are well positioned — but the directive reinforces the obligation to run transparent, criteria-based selection processes for board appointments.

The compliance gap is real

According to the IFA–Ethics & Boards barometer published in February 2026, executive committees of SBF 120 companies average just 30% women — exactly at the new legal floor — and CAC 40 companies 31%. Among companies that have filed their Rixain declarations, roughly one in three has not reached the 30% target. Female chief executives remain around 10% of the total. The board pipeline problem has largely been solved in France; the executive pipeline has not. That is precisely where specialised search makes the difference.

What are the gender quota requirements for companies in France?
Two regimes apply. The Copé-Zimmermann law requires at least 40% of each sex on the boards of listed companies and unlisted companies with more than 250 employees or over €50 million in revenue. What happens if a French company misses its quota?
